Please read these Terms of Service carefully before using CxTrack's services. By accessing or using our services, you agree to be bound by these terms. If you disagree with any part, you may not access our services.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and CxTrack ("Company," "we," "us," or "our") concerning your access to and use of the cxtrack.com website and all related services, including AI voice agents, CRM automation, business audits, and any other offerings (collectively, "Services").
By accessing or using our Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Description of Services
CxTrack provides AI-powered business automation solutions, including but not limited to:
- •AI Voice Agents: Automated call handling, appointment scheduling, and customer service
- •CRM Automation: Workflow optimization, lead management, and data synchronization
- •Business Audits: Revenue leak detection and operational efficiency analysis
- •Custom Integrations: Third-party software connections and API development
3. Account Registration
To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:
- •Provide accurate, current, and complete information
- •Maintain and promptly update your account information
- •Maintain the security of your password and account
- •Accept responsibility for all activities under your account
- •Notify us immediately of any unauthorized access
4. Subscription & Payment Terms
4.1 Fees
Fees for our Services are as described on our pricing page or in your service agreement. All fees are in USD unless otherwise specified. We reserve the right to modify pricing with 30 days' notice for existing subscriptions.
4.2 Billing
Subscription fees are billed in advance on a monthly or annual basis. One-time setup fees and additional services are billed as incurred. Payment is due upon receipt of invoice or automatically charged to your payment method on file.
4.3 Refunds
Setup fees and custom development work are non-refundable. Monthly subscription fees may be refunded on a pro-rata basis within the first 14 days if you are unsatisfied with the Services. Refund requests must be submitted to info@cxtrack.com.
5. Acceptable Use Policy
You agree NOT to use our Services to:
- ✕Violate any applicable laws, regulations, or third-party rights
- ✕Transmit spam, unsolicited communications, or robocalls to non-consenting parties
- ✕Impersonate others or misrepresent your affiliation
- ✕Attempt to gain unauthorized access to our systems or other users' accounts
- ✕Interfere with or disrupt the integrity or performance of our Services
- ✕Reverse engineer, decompile, or attempt to extract source code
- ✕Use our AI for illegal, deceptive, or fraudulent purposes
- ✕Resell or sublicense our Services without written permission
Violation of this policy may result in immediate suspension or termination of your account without refund.
6. Intellectual Property Rights
6.1 Our Property
All content, features, and functionality of our Services—including software, code, designs, text, graphics, logos, and trademarks—are owned by CxTrack and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.
6.2 Your Content
You retain ownership of any data, content, or materials you provide to us ("Your Content"). By using our Services, you grant us a limited license to use, process, and store Your Content solely for the purpose of providing the Services.
6.3 Feedback
Any feedback, suggestions, or ideas you provide about our Services may be used by us without any obligation to compensate you.
7. AI & Voice Agent Disclosures
When using our AI voice agents and automation tools, you acknowledge and agree that:
- •You are responsible for disclosing AI usage to your customers as required by applicable laws
- •Call recordings may be generated and stored as part of the service
- •You must obtain proper consent for call recording in your jurisdiction
- •AI responses may occasionally be inaccurate; human oversight is recommended
- •We are not liable for decisions made based solely on AI recommendations
8. Service Availability & Support
We strive to maintain 99.9% uptime for our Services but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. Support is provided via email at info@cxtrack.com during business hours (9 AM - 5 PM CST, Monday-Friday). Priority support may be available for higher-tier plans.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CXTRACK AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- (i) Your use or inability to use our Services;
- (ii) Any unauthorized access to or alteration of your data;
- (iii) Statements or conduct of third parties on our Services;
- (iv) Any other matter relating to our Services.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
10. Indemnification
You agree to defend, indemnify, and hold harmless CxTrack and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
11. Termination
By You: You may terminate your account at any time by contacting us at info@cxtrack.com. Upon termination, you remain responsible for any outstanding fees.
By Us: We may suspend or terminate your access immediately, without notice, for conduct that we believe violates these Terms, is harmful to other users, or is harmful to our business interests.
Effect of Termination: Upon termination, your right to use the Services ceases immediately. We may retain certain data as required by law. Sections regarding intellectual property, limitation of liability, and indemnification survive termination.
12. Dispute Resolution
Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in Manitoba, Canada, in accordance with the rules of the Canadian Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict of law principles.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
15. General Provisions
- •Entire Agreement: These Terms constitute the entire agreement between you and CxTrack regarding the Services.
- •Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- •Waiver: Our failure to enforce any right or provision does not waive that right.
- •Assignment: You may not assign your rights under these Terms without our consent.
